3、Group Company Limited Interim Report 20252購股權計劃在本公司二零一五年五月八日召開的週年股東大會上，本公司採納了一項新的購股權計劃（二零一五年計劃），有效期為10年。二零一五年計劃已於二零二五年五月終止，二零一五年計劃不再授予任何新的購股權。自購股權計劃被採納以來，授出的購股權總數為40,000,000股，其中27,345,000股購股權已獲行使，12,655,000股購股權已失效。所以，截至二零二五年六月三十日止，概無購股權尚未行使。報告期內，2,343,500股購股權已獲行使，610,000股購股權已失效。本公司採納二零一五年計劃的目的為激勵及獎勵

4、合資格參與者為本公司作出貢獻。合資格參與者包括本集團的員工、董事、合作夥伴、顧問、供應商及客戶。二零一五年計劃條款未明確承授人可行使購股權的期限或歸屬期，但明確規定了董事會可全權釐定行使購股權的期限、歸屬期、必須達到的任何表現目標，以及在行使購股權前必須符合的任何其他條件。購股權之行使價由董事會釐定，惟不得低於下列三者之最高者：(i)股份於授出當日（必須為交易日）在聯交所每日報價表所列之收市價；(ii)股份於緊接授出當日前五(5)個交易日在聯交所每日報價表所列之平均收市價；及(iii)股份之面值。Share Option SchemeAt the AGM of the Company conv
